2. Services & Engagements

Information on this site describes our services generally and is not an offer or a binding commitment. The scope, fees, timeline, and specific terms of any engagement are set out in a separate written proposal, statement of work, or services agreement signed by both parties, which controls in the event of any conflict with these Terms.

3. Client Data & Confidentiality

Data and materials you share with us in the course of an engagement remain yours. We treat non-public client information as confidential, use it only to perform the engagement, and protect it with reasonable care. We may use aggregated, de-identified insights derived from our work to improve our methods and benchmarks, provided such insights do not identify you or any individual.

4. Deliverables & Intellectual Property

Upon full payment, you receive the rights to the specific deliverables prepared for you as described in the applicable statement of work. We retain ownership of our pre-existing materials, methodologies, models, templates, and know-how, including any general improvements developed while performing the work. The content, design, and trademarks on this site are owned by HDS or its licensors.

5. Professional Disclaimer

Our analyses, dashboards, and recommendations are informational and are intended to support, not replace, your own business judgment. They do not constitute legal, accounting, tax, or investment advice. You are responsible for decisions made using our work. Results depend on factors outside our control, and we do not guarantee any particular financial or operational outcome.

6. AI-Assisted Work

Our total aggregate liability for any claim relating to an engagement will not exceed the fees you paid us for that engagement. Liability arising from a signed services agreement is governed by that agreement.

You agree to defend, indemnify, and hold harmless HDS and its members, officers, and personnel from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the site, your data, or your breach of these Terms.

11. Changes to These Terms

We may update these Terms from time to time. The version posted on this site with the effective date above is the current version. Your continued use of the site after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. The exclusive venue for any dispute not subject to a signed services agreement is the state and federal courts located in Denver County, Colorado.
